Terms of Service

1. Acceptance of Terms

By creating an account or using CreatrAds ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform.

These terms apply to all users of the platform, including creators who upload content and brands or companies who browse and purchase content.

2. About the Platform

CreatrAds is a creator ad marketplace that connects everyday content creators with brands and companies. Creators upload original video advertisements they have made, set prices, and list them for sale. Brands browse, negotiate, and purchase those ads with rights transferred upon payment.

CreatrAds facilitates the transaction but is not a party to the agreement between creators and brands. We are not responsible for the quality, accuracy, legality, or suitability of any content listed on the platform.

3. Accounts and Eligibility

You must be at least 18 years of age to create an account and use the platform. By registering, you confirm that you meet this requirement.

You are responsible for maintaining the security of your account and password. CreatrAds is not liable for any loss or damage resulting from unauthorized access to your account.

You agree to provide accurate and complete information when registering and to keep your account information up to date.

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or otherwise misuse the platform.

4. Creator Terms

4.1 Original Content

By uploading content to CreatrAds, you confirm that:

• You are the original creator of the content and own all rights to it
• The content does not infringe on the intellectual property, privacy, or other rights of any third party
• You have obtained any necessary permissions from individuals who appear in the content
• The content does not contain copyrighted music, trademarks, or other protected material without proper authorization
• The content complies with all applicable laws

4.2 Content Standards

All uploaded content must be original video advertisements. Content that is misleading, fraudulent, obscene, defamatory, or otherwise inappropriate will be removed and may result in account termination.

4.3 Pricing

Creators set their own prices. CreatrAds does not guarantee any minimum sale price or that any listing will be sold. You may update or remove listings at any time, subject to the restrictions outlined in Section 7 regarding non-exclusive sales.

4.4 Earnings

Upon a completed sale, creators receive their sale price minus the CreatrAds platform fee (15%). Payouts are processed via Stripe. CreatrAds is not responsible for delays caused by Stripe or your financial institution.

5. Brand / Company Terms

Brands and companies use the platform to discover, negotiate, and purchase video ad content from creators. By making a purchase, you agree to the licensing terms associated with that specific listing as described in Section 6 and Section 7.

Brands are responsible for ensuring that purchased content is used in compliance with applicable advertising laws, platform policies, and the terms of the license purchased.

6. Content Licensing and Rights Transfer

All rights transfer is governed by the listing type at the time of purchase. CreatrAds provides two types of content licenses:

Rights transfer takes effect immediately upon confirmed payment. CreatrAds provides no warranty that purchased content is free of third-party claims.

7. Exclusive vs. Non-Exclusive Listings — Important Restrictions

7.1 Pre-Sale Type Changes

A creator may change a listing between Exclusive and Non-exclusive at any time before any sale has occurred. Once a single non-exclusive license has been sold, the listing type is permanently locked as non-exclusive and cannot be changed.

7.2 Protection of Prior Licensees

Any non-exclusive license granted prior to a listing change or platform action remains valid and enforceable. CreatrAds does not and cannot revoke licenses already granted to buyers in good faith. Prior non-exclusive licensees retain their full right to use the content they purchased regardless of any subsequent sales or platform changes.

7.3 Creator Responsibility

Creators who list content as non-exclusive acknowledge and agree that they cannot later offer or imply exclusive rights to any buyer for that content once at least one non-exclusive license has been sold. Attempting to do so is a violation of these terms and may result in account suspension and legal liability.

7.4 Buyer Acknowledgment

Buyers purchasing a non-exclusive license acknowledge that the same content may be licensed to other parties. This is clearly disclosed at the time of purchase. By completing the transaction, the buyer confirms they understand and accept the non-exclusive nature of the license.

8. Fees and Payments

CreatrAds charges a platform transaction fee of 15% on each completed sale. This fee is deducted from the creator's payout. Buyers pay the listed or negotiated price in full.

All payments are processed through Stripe. By using the platform, you agree to Stripe's Terms of Service in addition to these terms.

All sales are final. Refunds are not provided unless the content delivered does not match the listing description or a technical error occurred during purchase. Refund disputes are handled on a case-by-case basis by CreatrAds support.

9. Prohibited Content and Conduct

The following are strictly prohibited on CreatrAds:

• Content that infringes on any copyright, trademark, or other intellectual property right
• Content featuring minors in any capacity without verifiable parental consent
• Sexually explicit, violent, or otherwise inappropriate content
• Content that promotes illegal products, services, or activities
• Misleading or fraudulent listings
• Uploading content you did not create or do not have rights to sell
• Circumventing the platform to conduct transactions directly and avoid platform fees
• Creating multiple accounts to manipulate listings, likes, or offers
• Harassing, threatening, or abusing other users

Violation of these terms may result in immediate account termination and, where applicable, legal action.

10. Content Theft and Unauthorized Listings

10.1 Prohibition on Unauthorized Uploads

You may not upload, list, or attempt to sell any content that you did not personally create or for which you do not hold all necessary rights. This includes but is not limited to:

• Content created by another person or entity, whether or not it has been publicly published
• Content that includes copyrighted material belonging to a third party, including music, footage, graphics, or branding
• Content in which individuals appear without having granted their consent for commercial use
• Content that you obtained from another creator, whether free, purchased, or gifted, and are attempting to resell as your own

10.2 Prohibition on Off-Platform Rights Acquisition

Attempting to acquire rights to content through transactions conducted outside of the CreatrAds platform — including private agreements, side payments, or informal transfers — for the purpose of listing that content on CreatrAds is strictly prohibited. All content listed on the platform must be original work created by the listing creator. Off-platform acquisition schemes will be treated as content theft under this policy.

10.3 Consequences for Violations

Any creator found to have uploaded content they do not own, or to have attempted to circumvent ownership requirements, will be subject to all of the following without exception:

• Permanent account ban — the account will be immediately and irrevocably terminated with no right of appeal
• Forfeiture of pending earnings — any earnings held in the creator's account that have not yet been paid out will be permanently forfeited
• Removal of all listings — all content associated with the account will be removed from the platform immediately
• Reporting to rights holders — CreatrAds reserves the right to report the violation to the relevant copyright owners and, where required by law, to law enforcement authorities

10.4 Immediate Removal Without Notice

CreatrAds reserves the right to remove any listing believed in good faith to involve content the uploader does not own, immediately and without prior notice. No compensation will be owed for removed listings. CreatrAds is not required to provide evidence of its determination prior to taking action, and removal decisions are final at our sole discretion.

10.5 Creator Legal Liability

Creators are solely and personally liable for any and all claims, damages, costs, and legal proceedings arising from content they list on the platform that they do not own or do not have the right to sell. This includes claims brought by the original copyright owner, individuals who appear in the content, trademark holders, or any other party with a legal interest in the content.

CreatrAds will not defend, indemnify, or bear any costs associated with such claims. If a third party brings a claim against CreatrAds as a result of a creator's unauthorized listing, the creator agrees to indemnify and hold CreatrAds harmless from all resulting losses, legal fees, and damages.

11. Disputes Between Users

CreatrAds facilitates transactions but is not responsible for resolving disputes between creators and brands regarding the quality, accuracy, or use of purchased content. We encourage users to resolve disputes directly.

If a dispute cannot be resolved, CreatrAds may, at its discretion, review the transaction and take action including but not limited to removing listings, suspending accounts, or issuing refunds.

12. Limitation of Liability

CreatrAds is provided "as is" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by law, CreatrAds and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

Our total liability to you for any claim arising from your use of the platform shall not exceed the total fees paid by you to CreatrAds in the twelve months preceding the claim.

13. Termination

CreatrAds reserves the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these terms, fraudulent activity, or inactivity.

Upon termination, your right to use the platform ceases immediately. Any completed sales and associated licenses granted prior to termination remain valid and are not affected by account termination.

14. Changes to These Terms

CreatrAds reserves the right to update these Terms of Service at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of the platform after changes are posted constitutes acceptance of the revised terms.

15. DMCA Policy

CreatrAds respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe content on the platform infringes your copyright, you may submit a takedown notice to our designated agent.

14.1 How to Submit a Takedown Notice

Send your DMCA takedown notice by email to contact@creatrads.com with the subject line: DMCA Notice — [Listing URL or Username].

14.2 Required Information

To be valid under 17 U.S.C. § 512(c)(3), your notice must include all of the following:

• A physical or electronic signature of the copyright owner or their authorized representative
• A description of the copyrighted work you claim has been infringed
• A description of the infringing material and its location on the platform (URL or sufficient identifying detail)
• Your contact information: full name, mailing address, telephone number, and email address
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
• A statement made under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf

Incomplete notices will not be acted upon. CreatrAds reserves the right to request additional information before processing a notice.

14.3 How CreatrAds Responds

Upon receiving a complete and valid DMCA notice, CreatrAds will:

• Review the notice for completeness and legal sufficiency
• Remove or disable access to the allegedly infringing listing
• Notify the user who uploaded the content that their listing has been removed and provide a copy of the notice
• Maintain a record of the notice as required by applicable law

Users whose content is repeatedly found to infringe third-party copyrights may have their accounts permanently terminated under our repeat infringer policy.

14.4 Counter-Notification Process

If you believe your content was removed in error or misidentification, you may submit a counter-notification under 17 U.S.C. § 512(g). Your counter-notification must include:

• Your physical or electronic signature
• Identification of the removed content and its former location on the platform
• A statement under penalty of perjury that you have a good faith belief the content was removed due to mistake or misidentification of the material
• Your full name, mailing address, and telephone number
• A statement consenting to the jurisdiction of the federal district court for the judicial district in which your address is located, or if outside the United States, any judicial district in which CreatrAds may be found, and that you will accept service of process from the party who submitted the original notice

Upon receiving a valid counter-notification, CreatrAds will forward it to the original complainant. Unless the complainant files a court action within 10–14 business days, CreatrAds may restore the removed content at its discretion.
